XERR commercial information

Website and software terms

These terms govern use of the XERR website and apply alongside the order form, licence schedule or written trial approval issued for an XERR software product.

1. Website use

You may use this website to review XERR products, request information, start an approved evaluation and enter a secure purchase process. You must not probe, disrupt, copy, scrape, reverse engineer or attempt to bypass the website, product security, user limits or licence controls.

2. Trials and licences

A trial is temporary, revocable and limited to the organisation, users, dates and purpose authorised by XERR. Commercial use requires an active licence. Access may be suspended when a licence has not started, has expired, has been suspended, exceeds its authorised user limit or is used outside its agreed scope.

3. Client administration

The licensed organisation is responsible for its administrators, user permissions, project structures, contributor links, uploaded information and lawful instructions. Administrators must promptly suspend leavers, revoke exposed links and report suspected compromise to XERR.

4. Fees and checkout

Prices, taxes, billing period, user limits, onboarding and renewal terms are confirmed before purchase. Payment is completed through the hosted checkout or invoice route identified by XERR. A purchase is not accepted until payment is confirmed and XERR issues or activates the corresponding licence.

5. Client information

The client retains its rights in information it lawfully provides. The client grants XERR the limited permission needed to host, process, secure, back up and present that information for the service. The client must not upload unlawful content, malicious code, information it has no right to use or special category information unless its use has been expressly agreed and appropriately protected.

6. XERR intellectual property

XERR and its licensors retain all rights in the software, website, designs, workflows, documentation, branding and improvements. A licence grants only the limited, non transferable right to use the authorised product during the active term.

7. Availability and changes

XERR aims to provide a reliable and secure service but does not promise uninterrupted availability or that every threat can be eliminated. Maintenance, security action, supplier incidents and circumstances outside reasonable control may affect access. Material service changes will be managed in accordance with the applicable client agreement.

8. Suspension and termination

XERR may restrict or suspend access where reasonably necessary to protect clients, investigate misuse, comply with law, enforce a licence or prevent harm. On termination or expiry, access ends and information is handled under the agreed export, retention and deletion arrangements.

9. Liability and priority

Any signed order form, licence schedule or negotiated service agreement takes priority over these website terms where they conflict. Liability limits and any service commitments for commercial clients are those stated in that agreement. Nothing in these terms excludes liability that cannot lawfully be excluded.

10. Law and contact

Unless a client agreement states otherwise, these terms are governed by the laws of England and Wales and disputes are subject to the courts of England and Wales. Questions can be sent to Support@xerr.co.uk.
